PLEASE READ THESE MARKETPLACE TERMS CAREFULLY

These Marketplace & Ecommerce Terms of Service ("Marketplace Terms") constitute a legally binding agreement between you and 0 LLC, doing business as Groomera ("Groomera", "we", "us", or "our"), governing your use of the Groomera Marketplace platform for buying and selling products.

These Marketplace Terms supplement and are incorporated into the Groomera Terms of Service, Privacy Policy, and Cookie Policy. In the event of any conflict between these Marketplace Terms and the general Terms of Service, these Marketplace Terms shall control with respect to marketplace and ecommerce activities.

BY USING THE GROOMERA MARKETPLACE AS A SELLER OR BUYER, YOU AGREE TO BE BOUND BY THESE MARKETPLACE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE MARKETPLACE.

IMPORTANT NOTICE: THESE TERMS CONTAIN A MANDATORY ARBITRATION PROVISION (SECTION 18) THAT REQUIRES THE USE OF ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES, RATHER THAN JURY TRIALS OR CLASS ACTIONS.


1. Overview of the Groomera Marketplace

1.1 Platform Description

Groomera operates an online marketplace ("Marketplace") that enables business users ("Sellers") to list, market, and sell products directly to end users ("Buyers"). Groomera is a technology platform that facilitates transactions between Sellers and Buyers. Groomera is NOT a seller, retailer, distributor, or manufacturer of any products listed on the Marketplace.

1.2 Groomera's Role

Groomera's role is limited to:

  • Providing the technology platform that connects Sellers and Buyers.
  • Processing payments through third-party payment processors (Stripe).
  • Facilitating shipping label purchases through integrated services (Easyship).
  • Providing customer support and dispute resolution services.
  • Collecting marketplace fees from Sellers.

Groomera does NOT:

  • Take possession of, store, ship, or deliver products.
  • Manufacture, inspect, or quality-check products.
  • Set product prices, descriptions, or terms of sale.
  • Guarantee the quality, safety, legality, or authenticity of products.
  • Assume liability for products sold by Sellers.

1.3 Direct Relationship Between Sellers and Buyers

All product sales are made directly between Sellers and Buyers. When a Buyer purchases a product through the Marketplace:

  • The Seller is the seller of record and is responsible for the product.
  • A direct contractual relationship is formed between the Seller and the Buyer.
  • The Seller is solely responsible for fulfilling the order, shipping the product, handling returns, and providing customer service.
  • Groomera is not a party to the transaction and assumes no responsibility for the product or the transaction.

2. Eligibility and Account Requirements

2.1 General Eligibility

To use the Marketplace, you must:

  • Be at least 18 years of age or have parental/guardian consent.
  • Have an active Groomera account in good standing.
  • Comply with all applicable laws, including consumer protection laws, tax laws, and product safety regulations.

2.2 Seller Eligibility

To sell products on the Marketplace, you must also:

  • Be a verified Business User with an active subscription to Groomera services.
  • Provide accurate business information, including business name, address, and tax identification number.
  • Have a valid payment method on file to pay marketplace fees.
  • Comply with all Seller obligations outlined in these Marketplace Terms.

2.3 Buyer Eligibility

To purchase products on the Marketplace, you must:

  • Provide accurate shipping and contact information.
  • Have a valid payment method.
  • Agree to pay all applicable charges, including product price, shipping, taxes, and any other fees disclosed at checkout.

3. Marketplace Fees and Payment Processing

3.1 Marketplace Fees for Sellers

Groomera charges Sellers a marketplace fee on each product sold, calculated as follows:

Marketplace Fee = Greater of:

  • $0.99 per product sold, OR
  • 9% of the product sale price (excluding shipping and taxes)

Example Calculations:

  • Product price: $5.00 → Fee: $0.99 (greater than 9% of $5.00 = $0.45)
  • Product price: $20.00 → Fee: $1.80 (9% of $20.00, greater than $0.99)
  • Product price: $100.00 → Fee: $9.00 (9% of $100.00)

The marketplace fee is automatically deducted from the transaction amount before funds are deposited into the Seller's account.

3.2 Payment Processing

All payments are processed through Stripe, Groomera's third-party payment processor. When a Buyer purchases a product:

  1. The Buyer pays the total amount (product price + shipping + taxes) to Groomera via Stripe.
  2. Groomera deducts the marketplace fee from the product sale price.
  3. The remaining amount is deposited into the Seller's connected Stripe account.
  4. Shipping costs and taxes (if collected) are passed through to the Seller without deduction.

Payment Schedule: Sellers may receive payouts on one of the following schedules (to be determined):

  • Immediate: Funds deposited to Seller's account immediately after purchase.
  • Scheduled: Funds deposited on a regular schedule (e.g., daily, weekly, or monthly).

The specific payout schedule will be communicated to Sellers through their account dashboard.

3.3 Payment Method Requirements

Sellers must maintain a valid Stripe account connected to their Groomera account to receive payments. Buyers must provide a valid payment method (credit card, debit card, or other accepted methods) at checkout.

3.4 Failed Payments and Chargebacks

Chargebacks: If a Buyer initiates a chargeback or disputes a payment with their bank or credit card company, the Seller is solely responsible for the chargeback and any associated fees. Groomera will deduct the chargeback amount and any chargeback fees from the Seller's account balance or future payouts.

Failed Payments: If a Seller's payment method for marketplace fees is declined or invalid, Groomera reserves the right to suspend the Seller's marketplace access until payment is resolved.


4. Product Listings and Seller Obligations

4.1 Product Listing Requirements

Sellers may list products for sale on the Marketplace, subject to the following requirements:

Accurate Information: Product listings must include:

  • Accurate and truthful product descriptions.
  • Clear, high-quality product images (owned by the Seller or used with proper written consent).
  • Correct pricing, availability, and shipping information.
  • All relevant product specifications, dimensions, materials, ingredients, and warnings.

Prohibited Misrepresentations: Sellers may NOT:

  • Misrepresent the condition, quality, authenticity, or origin of products.
  • Use deceptive pricing tactics (e.g., fake discounts, false scarcity).
  • Make false or misleading health, safety, or performance claims.
  • Use stolen, copyrighted, or unauthorized images, descriptions, or branding.

4.2 Prohibited Products

Sellers are strictly prohibited from listing the following products on the Marketplace:

Illegal and Harmful Products:

  1. Alcohol (beer, wine, spirits, liquor)
  2. Tobacco products (cigarettes, cigars, vaping products, e-cigarettes, nicotine)
  3. Weapons (guns, firearms, ammunition, explosives, knives, tasers, pepper spray, brass knuckles)
  4. Drugs (illegal drugs, controlled substances, marijuana, CBD products without proper certification)
  5. Prescription medications (prescription drugs, prescription pet medications)
  6. Counterfeit goods (fake designer products, knockoffs, unauthorized replicas)
  7. Stolen goods (items obtained illegally or without proper authorization)
  8. Hazardous materials (toxic chemicals, flammable substances, radioactive materials, asbestos)
  9. Endangered species products (ivory, exotic animal parts, protected wildlife)
  10. Human remains or body parts (organs, blood, tissue samples)

Regulated and Restricted Products: 11. Recalled products (items subject to safety recalls) 12. Fireworks and explosives 13. Pesticides and herbicides (without proper licensing) 14. Medical devices (unapproved or unlicensed medical equipment) 15. Adult content (pornography, sexually explicit materials) 16. Live animals (pets, livestock, exotic animals) 17. Event tickets (resale or scalped tickets where prohibited by law) 18. Lottery tickets and gambling products 19. Unauthorized academic materials (test answer keys, stolen exams, plagiarized content) 20. Hacking tools and malicious software (keyloggers, viruses, account cracking tools)

Intellectual Property Violations: 21. Pirated media (bootleg movies, music, software, games) 22. Counterfeit currency or documents (fake IDs, forged documents) 23. Unlicensed trademarked or copyrighted products

Harmful or Dangerous Products: 24. Products intended to harm (poison, weapons marketed for violence) 25. Unsafe dietary supplements (products banned by FDA or containing harmful ingredients) 26. Products targeting minors inappropriately (sexual content, violent products for children) 27. Misbranded or adulterated food products 28. Unlabeled or improperly labeled cosmetics and personal care products 29. Products making false health claims (e.g., "cures cancer," "guaranteed weight loss") 30. Products that violate consumer safety standards (toys with lead paint, unsafe electronics)

Other Prohibited Items: 31. Spam or misleading products (get-rich-quick schemes, pyramid schemes) 32. Services (unless explicitly allowed) - the Marketplace is for physical products only 33. Any product that violates local, state, federal, or international laws

This list is not exhaustive. Groomera reserves the right to remove any product listing that we determine, in our sole discretion, is illegal, harmful, dangerous, offensive, or otherwise inappropriate.

4.3 Seller's Responsibility for Product Compliance

Sellers are solely responsible for ensuring that all products they list comply with:

  • All applicable laws, including consumer protection laws, product safety regulations, labeling requirements, and import/export restrictions.
  • Federal, state, and local regulations (e.g., FDA, FTC, CPSC, EPA regulations in the United States).
  • International laws if selling to or shipping to international customers.
  • Industry-specific standards and certifications (e.g., organic certification, fair trade certification).

Groomera does not pre-approve, inspect, or verify product listings for compliance. Sellers bear all responsibility for legal compliance.

4.4 Pricing and Inventory Management

Sellers have full control over:

  • Setting product prices.
  • Managing inventory levels and product availability.
  • Offering discounts, promotions, or sales.

Sellers must:

  • Keep inventory levels accurate and up-to-date.
  • Honor prices displayed at the time of purchase (no retroactive price increases).
  • Immediately update listings if products become unavailable.

4.5 Product Images and Content Ownership

Product Images: Sellers may upload product photos and videos, provided they:

  • Own the images or videos, OR
  • Have obtained proper written consent from the owner to use them.

If Sellers fail to obtain consent for images or videos, Groomera will not be held liable for any copyright infringement, trademark violations, or other legal claims arising from the use of such content. Sellers are solely liable for any damages.

License to Groomera: By uploading product images or videos to the Marketplace, Sellers grant Groomera a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, display, and distribute the images for the following purposes:

  • Displaying product listings on the Marketplace.
  • Marketing and promotional purposes (website, social media, advertisements, etc.).
  • Platform improvement and analytics.

Retention Period: Even if a Seller removes a product listing or deletes their account, Groomera reserves the right to continue using product images for up to 120 days. If a Seller wishes to have images deleted immediately, they must submit a written request to Support@Groomera.com.

4.6 Product Listing Removal

Groomera reserves the right to remove any product listing at any time, without prior notice, for any reason, including but not limited to:

  • Violation of these Marketplace Terms.
  • Listing of prohibited products.
  • Suspected fraud, counterfeit goods, or illegal activity.
  • Intellectual property infringement (e.g., counterfeit products, stolen images).
  • Customer complaints or safety concerns.
  • Non-compliance with applicable laws or regulations.

If a listing is removed, the Seller will be notified via email. Depending on the severity of the violation, the Seller's marketplace access may be suspended or permanently revoked.


5. Seller Obligations for Order Fulfillment

5.1 Order Processing and Fulfillment

When a Seller receives an order, the Seller is solely responsible for:

  • Processing the order promptly and preparing the product for shipment.
  • Shipping the product to the Buyer within the timeframe specified in the product listing or as otherwise communicated to the Buyer.
  • Providing accurate tracking information to the Buyer (if applicable).
  • Ensuring proper packaging to prevent damage during transit.
  • Handling any customs documentation (for international shipments).

Groomera does not handle order fulfillment, shipping, or delivery. All fulfillment obligations rest solely with the Seller.

5.2 Shipping and Delivery

Shipping Costs: Sellers are responsible for determining shipping costs, which may be:

  • Included in the product price (free shipping).
  • Charged separately at checkout.

Shipping costs are passed through to the Seller without deduction by Groomera.

Shipping Labels: Sellers may purchase discounted shipping labels through Easyship, an integrated third-party shipping service. Use of Easyship is optional. Sellers may also use their own shipping carriers and methods.

Delivery Timeframes: Sellers must clearly communicate estimated delivery timeframes in product listings. Delivery times depend on the Seller's location, the Buyer's location, and the selected shipping method.

Lost or Damaged Shipments: Sellers are solely responsible for lost, stolen, or damaged shipments. If a product is lost or damaged during transit, the Seller must:

  • Work with the shipping carrier to resolve the issue.
  • Provide a replacement product or refund to the Buyer (at the Seller's discretion).
  • File insurance claims with the shipping carrier (if applicable).

Groomera is not responsible for lost or damaged shipments and will not provide refunds or replacements on behalf of Sellers.

5.3 International Sales

Sellers may only sell products within their own country unless they explicitly elect to sell internationally.

If Sellers choose to sell internationally, they must:

  • Comply with all laws of both the origin country (where the Seller is located) and the destination country (where the Buyer is located).
  • Handle all customs documentation, import/export restrictions, and duties/taxes.
  • Bear all legal and financial responsibility related to international fulfillment.
  • Ensure that products are legal to sell and import in the destination country.

Groomera is not responsible for any issues arising from international sales, including customs delays, seized shipments, or legal violations.


6. Returns, Refunds, and Exchanges

6.1 Returns Policy

Sellers are solely responsible for handling product returns. Each Seller must establish their own returns policy, which should be clearly communicated in product listings and made available to Buyers before purchase.

Standard Return Window: Unless otherwise specified by the Seller, Buyers have 30 days from the date of delivery to return a product for a refund or exchange.

Return Eligibility: Returns are generally accepted for:

  • Products that are defective, damaged, or not as described.
  • Products that do not meet the Buyer's expectations (subject to the Seller's policy).

Non-Returnable Products: Certain products may be non-returnable due to hygiene, safety, or legal reasons, including but not limited to:

  • Personal care items (e.g., opened cosmetics, grooming tools used on skin).
  • Perishable goods (e.g., food, flowers).
  • Custom or personalized products.
  • Final sale items (clearly marked as non-returnable).

Sellers must clearly indicate if a product is non-returnable in the product listing.

6.2 Return Shipping Costs

Responsibility for return shipping costs depends on the reason for the return:

  • Defective or Damaged Products: The Seller is responsible for return shipping costs.
  • Buyer's Change of Mind: The Buyer is responsible for return shipping costs, unless the Seller's policy states otherwise.

Sellers and Buyers may negotiate return shipping arrangements on a case-by-case basis.

6.3 Refunds

Sellers are responsible for processing refunds for returned products. Refunds should be issued within a reasonable timeframe (typically 7-14 business days) after the Seller receives the returned product.

Refund Method: Refunds should be issued to the original payment method used by the Buyer.

Partial Refunds: Sellers may issue partial refunds in cases where:

  • The product is returned in used or damaged condition (not caused by the Seller).
  • A restocking fee applies (if disclosed in the Seller's return policy).

6.4 Damaged or Defective Products

If a product is delivered damaged or defective, the Seller must:

  • Offer the Buyer a full refund or replacement product.
  • Cover the cost of return shipping (if applicable).
  • Investigate the cause of the damage (e.g., poor packaging, shipping carrier mishandling).

Buyers must report damaged or defective products within 7 days of delivery. Sellers should require photographic evidence of the damage before processing a refund or replacement.


7. Buyer Responsibilities and Protections

7.1 Buyer Responsibilities

When purchasing products on the Marketplace, Buyers agree to:

  • Review product descriptions, images, specifications, and Seller policies carefully before making a purchase.
  • Understand the ingredients, materials, benefits, and potential risks associated with the product.
  • Use products as intended and follow all instructions, warnings, and safety guidelines provided by the Seller or manufacturer.
  • Read and understand the Seller's return and refund policy before completing the purchase.
  • Inspect products upon delivery and report any issues (damage, defects, incorrect items) to the Seller within 7 days.
  • Comply with any age restrictions for age-restricted products (e.g., certain grooming tools, cosmetics).

Buyers are solely responsible for:

  • Verifying that products are safe and suitable for their intended use.
  • Checking for allergens, sensitivities, or contraindications (e.g., product ingredients).
  • Ensuring compliance with local laws if purchasing products for use in a different jurisdiction.

7.2 Buyer Protection: 0-Z Guarantee

Groomera offers Buyers a "0-Z Guarantee" to ensure a safe and satisfactory shopping experience. Under this guarantee:

Eligible Issues:

  • Product not received: The Buyer did not receive the product after a reasonable delivery timeframe, and the Seller has not resolved the issue.
  • Product not as described: The product received is significantly different from the product listing (e.g., wrong item, materially different quality).
  • Defective or damaged product: The product arrived damaged or defective, and the Seller refuses to provide a refund or replacement.

How the 0-Z Guarantee Works:

  1. Buyer contacts the Seller first: Buyers must attempt to resolve the issue directly with the Seller before requesting Groomera's intervention.
  2. Escalation to Groomera: If the Seller does not respond within 5 business days or refuses to resolve the issue, the Buyer may escalate the dispute to Groomera by contacting Support@Groomera.com.
  3. Groomera Investigation: Groomera will review the dispute, including product listings, communication between the Buyer and Seller, tracking information, and any photographic evidence.
  4. Groomera's Decision: Groomera will make a final determination and may:
    • Require the Seller to issue a refund or replacement.
    • Refund the Buyer directly and deduct the amount from the Seller's account balance or future payouts.
    • Determine that the Buyer is responsible for costs (e.g., return shipping).
    • Take disciplinary action against the Seller (e.g., suspension, termination).

Groomera's decision is final and binding. Both Buyers and Sellers agree to accept Groomera's resolution of disputes under the 0-Z Guarantee.

7.3 Limitations on Buyer Protections

The 0-Z Guarantee does NOT cover:

  • Buyer's remorse or change of mind (unless the Seller's return policy allows it).
  • Damage caused by the Buyer (e.g., misuse, improper storage, neglect).
  • Issues caused by Buyer-provided information (e.g., incorrect shipping address).
  • Disputes filed after 60 days from the date of purchase.
  • Products correctly described and received as expected but not meeting the Buyer's subjective expectations.

Buyers are expected to exercise reasonable care and judgment when purchasing products.

7.4 Limitation of Liability for Product-Related Issues

Groomera is not responsible for:

  • Injuries, damages, allergic reactions, or adverse effects caused by products purchased on the Marketplace.
  • Product defects, manufacturing errors, or safety issues.
  • Misuse or improper use of products by Buyers.

Buyers acknowledge and agree that Groomera is a platform facilitating transactions between Sellers and Buyers. All product-related claims must be directed to the Seller, not Groomera.


8. Dispute Resolution Between Buyers and Sellers

8.1 Direct Resolution

Buyers and Sellers are encouraged to resolve disputes directly through communication, negotiation, and good-faith efforts. Most issues can be resolved without Groomera's intervention.

8.2 Groomera-Mediated Disputes

If Buyers and Sellers cannot resolve a dispute on their own, either party may request Groomera's assistance. Groomera will act as a neutral mediator to investigate and resolve the dispute.

Groomera's Dispute Resolution Process:

  1. Submit a Dispute: The Buyer or Seller submits a dispute through Support@Groomera.com, providing all relevant information (order details, communication history, evidence).
  2. Investigation: Groomera reviews the dispute, contacts both parties, and requests additional information if needed.
  3. Resolution: Groomera makes a determination based on the evidence and these Marketplace Terms.
  4. Action: Groomera may:
    • Order the Seller to issue a refund or replacement.
    • Refund the Buyer directly and deduct the amount from the Seller's account.
    • Determine that the Buyer is responsible for costs.
    • Take disciplinary action against the Seller or Buyer.

Customer Service Costs: Groomera provides dispute resolution services at no additional cost to Buyers or Sellers. However, Groomera reserves the right to charge Sellers for excessive or repeated dispute resolution efforts if the Seller is found to be at fault.

8.3 Groomera's Right to Charge for Dispute Resolution

If a Seller repeatedly engages in conduct that results in disputes, complaints, or refunds, Groomera reserves the right to:

  • Deduct dispute resolution costs from the Seller's account balance.
  • Suspend or terminate the Seller's marketplace access.
  • Charge the Seller for customer service time and administrative costs.

Groomera's customer service time is paid for by Groomera, and Sellers who cause excessive disputes may be held financially responsible.


9. Product Liability and Seller Indemnification

9.1 Seller's Liability for Products

Sellers are solely liable for all products they list and sell on the Marketplace. This includes:

  • Product quality, safety, and legality.
  • Compliance with all applicable laws and regulations.
  • Injuries, damages, or harm caused by products, whether the harm was caused knowingly or unknowingly.
  • Defects, malfunctions, or failures of products.
  • Misrepresentation, false advertising, or deceptive practices.

Groomera is NOT liable for any product-related claims, damages, or losses.

9.2 Limitation on Product Liability for Unknowing Sellers

To protect Sellers from excessive liability in cases where harm was caused unknowingly, the following limitation applies:

If a Seller unknowingly sold a product that caused harm to a Buyer, and the Seller can demonstrate that:

  • They did not know and had no reason to know the product was defective, dangerous, or non-compliant.
  • They acted in good faith and complied with all reasonable standards of care.
  • They provided accurate product information based on manufacturer or supplier representations.

Then, the Seller's liability for damages to the affected Buyer(s) shall not exceed 1,000% (ten times) the total product sale price.

Example: If a product sold for $50 and caused harm, the Seller's maximum liability to the Buyer is $500 (10 x $50).

This limitation does NOT apply if:

  • The Seller knowingly sold a defective, dangerous, or illegal product.
  • The Seller engaged in fraud, misrepresentation, or intentional misconduct.
  • The Seller violated applicable safety regulations or ignored known risks.

This limitation applies only to claims brought by individual Buyers against Sellers and does NOT limit Groomera's ability to seek indemnification from Sellers or take disciplinary action.

9.3 Buyer's Duty to Inspect and Understand Products

Buyers are responsible for:

  • Inspecting products upon receipt and reporting any issues within 7 days.
  • Reading and understanding product ingredients, materials, warnings, and instructions before use.
  • Checking for allergens, sensitivities, or contraindications (e.g., if a cosmetic contains an ingredient the Buyer is allergic to).
  • Using products as intended and following all safety guidelines provided by the Seller or manufacturer.

Buyers assume all risk associated with product use, including:

  • Allergic reactions, skin sensitivities, or adverse effects.
  • Injuries or damages caused by misuse, improper use, or failure to follow instructions.
  • Issues arising from pre-existing conditions or individual sensitivities.

Buyers may not hold Sellers liable for harm caused by their own negligence, misuse, or failure to inspect products.

9.4 Seller Indemnification

Sellers agree to indemnify, defend, and hold harmless Groomera, its affiliates, officers, directors, employees, agents, and service providers from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or related to:

  • Products listed or sold by the Seller on the Marketplace.
  • Product defects, safety issues, injuries, or damages caused by the Seller's products.
  • Violation of consumer protection laws, product safety regulations, or other applicable laws.
  • Intellectual property infringement (e.g., selling counterfeit goods, using stolen images).
  • Misrepresentation, false advertising, or deceptive business practices.
  • Breach of these Marketplace Terms or any warranties or representations made by the Seller.
  • Any claims made by Buyers, third parties, or government agencies related to the Seller's products or conduct.

Sellers are solely responsible for defending against and paying any judgments, settlements, or damages arising from product-related claims.


10. Taxes and Financial Responsibilities

10.1 Seller's Tax Obligations

Sellers are solely responsible for all taxes related to their sales on the Marketplace, including but not limited to:

  • Sales tax, use tax, value-added tax (VAT), or goods and services tax (GST).
  • Income tax on revenue generated from product sales.
  • Business taxes and any other applicable local, state, or federal taxes.

Groomera does NOT collect, remit, or file taxes on behalf of Sellers. Sellers are responsible for:

  • Determining which taxes apply to their sales.
  • Collecting applicable taxes from Buyers (if required).
  • Tracking total sales tax collected.
  • Remitting taxes to the appropriate tax authorities.
  • Filing tax returns and maintaining tax records.

Tax Estimates: Groomera may provide estimated tax calculations based on the Buyer's location and Seller's settings. However, these estimates are for informational purposes only and are not guaranteed to be accurate. Sellers are solely responsible for ensuring correct tax calculation and compliance.

10.2 Buyer's Tax Obligations

Buyers are responsible for any use tax, import duties, or other taxes owed on products purchased through the Marketplace. In some jurisdictions, Buyers may be required to self-report and pay use tax on online purchases.

Groomera does not collect or remit taxes on behalf of Buyers.

10.3 International Sales and Customs

Sellers who sell internationally are responsible for:

  • Complying with export laws and regulations in their country.
  • Complying with import laws and regulations in the destination country.
  • Providing accurate customs documentation (commercial invoices, packing lists, etc.).
  • Paying any export fees, duties, or taxes.

Buyers who purchase products internationally are responsible for:

  • Paying any import duties, customs fees, or taxes imposed by their country.
  • Ensuring that products are legal to import in their jurisdiction.

Groomera is not responsible for customs delays, seized shipments, or any issues arising from international sales.


11. Intellectual Property and Counterfeit Products

11.1 Prohibition on Counterfeit Goods

Sellers are strictly prohibited from listing or selling counterfeit, fake, or unauthorized products on the Marketplace. This includes:

  • Counterfeit designer goods (e.g., fake handbags, watches, clothing with unauthorized logos).
  • Unauthorized replicas or knock-offs of branded products.
  • Products that infringe on trademarks, copyrights, or patents.

Selling counterfeit goods is a serious violation of these Marketplace Terms and may result in:

  • Immediate removal of product listings.
  • Suspension or permanent termination of the Seller's marketplace access.
  • Legal action by Groomera or the intellectual property rights holder.
  • Criminal prosecution under applicable laws.

11.2 Seller Liability for Counterfeit Products

If a Seller lists or sells counterfeit products:

  • The Seller is solely liable for all damages, refunds, legal fees, and penalties arising from the sale of counterfeit goods.
  • Groomera reserves the right to seek compensation from the Seller for any harm to Groomera's reputation, brand, or credibility caused by the Seller's sale of counterfeit products.
  • The Buyer is entitled to a full refund, which Groomera may process directly and deduct from the Seller's account balance.

11.3 Intellectual Property Infringement Complaints

If you believe that a product listing infringes on your intellectual property rights, please submit a notice to:

Your notice should include:

  • Identification of the intellectual property (trademark, copyright, patent) being infringed.
  • Identification of the infringing product listing (URL or product ID).
  • Your contact information.
  • A statement that you have a good-faith belief that the use is unauthorized.
  • A statement that the information in your notice is accurate, under penalty of perjury.
  • Your physical or electronic signature.

Groomera will investigate and take appropriate action, which may include removing the listing and suspending the Seller's account.

11.4 Seller's Use of Product Images and Descriptions

Sellers must ensure that all product images, descriptions, and content used in listings are either:

  • Owned by the Seller, OR
  • Used with proper written consent from the copyright owner.

If a Seller uses images or content without authorization, the Seller is solely liable for any copyright infringement claims, and Groomera will not be held responsible.

If a product listing is found to violate intellectual property rights:

  • The listing will be removed immediately upon discovery or notification.
  • The Seller will be required to correct the listing or face account suspension.
  • If the violation was intentional or repeated, the Seller will permanently lose marketplace access.
  • The Seller will be held liable for any damages, legal fees, or settlements arising from the infringement.

12. Age-Restricted Products

12.1 Seller's Responsibility for Age Verification

Some products sold on the Marketplace may be subject to age restrictions under federal, state, or local laws (e.g., certain grooming tools, cosmetics, or personal care products that require users to be 18+ or have specific age requirements).

If a Seller chooses to sell age-restricted products, the Seller is solely responsible for:

  • Verifying the age of the Buyer before completing the sale.
  • Complying with all applicable age verification laws (e.g., requiring proof of age, such as a government-issued ID).
  • Refusing to sell to underage Buyers.
  • Any legal consequences, fines, or penalties arising from the sale of age-restricted products to minors.

Groomera does not verify the age of Buyers and is not responsible for ensuring compliance with age restrictions. Sellers bear all responsibility and liability for selling age-restricted products.


13. Compliance with Laws and Regulations

13.1 Seller's Duty to Comply with All Laws

Sellers are solely responsible for ensuring that their products, listings, and business practices comply with all applicable laws and regulations, including but not limited to:

  • Consumer Protection Laws: FTC regulations, state consumer protection statutes, and truth-in-advertising laws.
  • Product Safety Regulations: CPSC standards, FDA regulations, EPA rules, and industry-specific safety requirements.
  • Labeling and Disclosure Requirements: Ingredient lists, country of origin, warnings, and other mandatory disclosures.
  • Import/Export Regulations: Customs laws, trade restrictions, and international shipping requirements.
  • Privacy and Data Protection Laws: GDPR, CCPA, LGPD, and other data privacy regulations (if collecting customer information).
  • Tax Laws: Sales tax, income tax, VAT, GST, and other applicable taxes.
  • Intellectual Property Laws: Copyright, trademark, and patent laws.
  • Employment and Labor Laws: If the Seller employs workers to manufacture or fulfill orders.

If a Seller's products or practices violate any applicable laws:

  • The product listings will be removed immediately.
  • The Seller's marketplace access may be suspended or terminated.
  • The Seller will be solely liable for any fines, penalties, legal fees, or damages arising from the violation.
  • Groomera will not be held liable for the Seller's non-compliance with laws.

13.2 FTC Compliance and Endorsements

Sellers must comply with Federal Trade Commission (FTC) guidelines regarding:

  • Truthful advertising: All product claims must be truthful, substantiated, and not misleading.
  • Endorsements and testimonials: Any reviews, testimonials, or influencer endorsements must disclose material connections (e.g., if the reviewer received free products or compensation).
  • Health and safety claims: Claims about health benefits, efficacy, or safety must be supported by credible scientific evidence.

Violation of FTC guidelines may result in:

  • Removal of product listings.
  • Account suspension or termination.
  • Legal action by the FTC or other regulatory agencies.

13.3 International Compliance

Sellers who sell products internationally must comply with the laws of:

  • Their home country (where the Seller is located).
  • The destination country (where the Buyer is located).
  • Any countries through which the product transits during shipping.

Sellers are solely responsible for researching and complying with international laws, including:

  • Import/export restrictions.
  • Product registration and certification requirements.
  • Labeling and packaging standards.
  • Taxes, duties, and customs fees.

Groomera is not responsible for any legal issues, customs delays, or seized shipments arising from international sales.


14. Account Suspension and Termination

14.1 Grounds for Suspension or Termination

Groomera reserves the right to suspend or terminate a Seller's marketplace access at any time, without prior notice, for any of the following reasons:

Immediate Termination (No Warning):

  • Listing or selling prohibited products (see Section 4.2).
  • Selling counterfeit, fake, or unauthorized products.
  • Engaging in fraud, deception, or illegal activity.
  • Violating intellectual property rights.
  • Failing to fulfill orders or repeatedly failing to ship products.
  • Excessive disputes, complaints, or chargebacks.
  • Violating consumer protection laws or product safety regulations.
  • Any conduct that harms Groomera's reputation, credibility, or operations.

Suspension or Termination with Warning:

For less severe violations, Groomera may issue a warning before suspending or terminating the Seller's account. However, Groomera is not obligated to provide warnings and may suspend or terminate accounts immediately in its sole discretion.

14.2 Effect of Suspension or Termination

Upon suspension or termination of a Seller's marketplace access:

  • The Seller will immediately lose the ability to list new products or process new orders.
  • Existing product listings will be removed from the Marketplace.
  • The Seller will still be required to fulfill any pending orders.
  • The Seller's account balance (pending payouts) may be held for up to 90 days to cover potential refunds, chargebacks, or disputes.
  • After 90 days, any remaining balance will be released to the Seller, unless there are unresolved disputes or legal holds.

Termination does not relieve the Seller of any obligations or liabilities incurred prior to termination, including product liability, refunds, or indemnification obligations.


15. Disclaimers and Warranties

15.1 No Warranty on Marketplace Services

THE GROOMERA MARKETPLACE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

Groomera disclaims all warranties, including but not limited to:

  • Warranties that the Marketplace will be uninterrupted, timely, secure, or error-free.
  • Warranties regarding the quality, safety, legality, or authenticity of products listed by Sellers.
  • Warranties that Sellers will fulfill orders, provide accurate information, or comply with laws.
  • Warranties that Buyers will pay for orders or act in good faith.

15.2 No Guarantee of Sales or Revenue

Groomera makes no guarantees regarding:

  • The number of products a Seller will sell.
  • The revenue or profits a Seller will generate.
  • The visibility or ranking of product listings.
  • The availability or reliability of third-party services (Stripe, Easyship, etc.).

Sellers use the Marketplace at their own risk and are solely responsible for the success or failure of their sales.

15.3 Third-Party Services

Groomera is not responsible for the performance, availability, or practices of third-party services, including:

  • Stripe (payment processing).
  • Easyship (shipping labels).
  • Shipping carriers (USPS, UPS, FedEx, etc.).

Any disputes or issues with third-party services must be resolved directly with the third-party provider.


16. Limitation of Liability

16.1 Maximum Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GROOMERA'S TOTAL LIABILITY TO SELLERS OR BUYERS FOR ANY CLAIMS ARISING FROM OR RELATED TO THE MARKETPLACE SHALL NOT EXCEED THE TOTAL MARKETPLACE FEES PAID BY THE SELLER TO GROOMERA IN THE 12 MONTHS IMMEDIATELY PRECEDING THE CLAIM.

For Buyers, Groomera's maximum liability is limited to the purchase price of the product in dispute.

16.2 Exclusion of Certain Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL GROOMERA BE LIABLE FOR ANY:

  • Indirect, incidental, special, consequential, or punitive damages.
  • Loss of profits, revenue, sales, data, goodwill, or business opportunities.
  • Damages resulting from product defects, injuries, or harm caused by products.
  • Damages resulting from disputes between Buyers and Sellers.
  • Damages resulting from third-party services, payment processing issues, or shipping problems.

THESE LIMITATIONS APPLY EVEN IF GROOMERA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

16.3 Seller and Buyer Acknowledgment of Risk

Sellers and Buyers acknowledge and agree that:

  • The Marketplace involves inherent risks, including product liability, payment disputes, shipping issues, and fraud.
  • Groomera is a platform facilitating transactions and assumes no responsibility for the products, Sellers, or Buyers.
  • Sellers and Buyers use the Marketplace at their own risk and are responsible for their own actions and decisions.

17. Indemnification

17.1 Seller Indemnification

Sellers agree to indemnify, defend, and hold harmless Groomera, its affiliates, officers, directors, employees, agents, and service providers from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or related to:

  • Products listed or sold by the Seller.
  • Product defects, injuries, damages, or harm caused by products.
  • Violation of consumer protection laws, product safety regulations, or other applicable laws.
  • Intellectual property infringement (e.g., counterfeit goods, unauthorized use of images).
  • Misrepresentation, false advertising, or deceptive practices.
  • Breach of these Marketplace Terms or any warranties made by the Seller.
  • Claims made by Buyers, third parties, or government agencies related to the Seller's products or conduct.
  • Damage to Groomera's reputation or credibility caused by the Seller's actions.

17.2 Buyer Indemnification

Buyers agree to indemnify, defend, and hold harmless Groomera from and against any claims arising from:

  • Misuse or improper use of products.
  • Fraudulent disputes or chargebacks.
  • Violation of these Marketplace Terms.

18. Dispute Resolution and Arbitration

18.1 Mandatory Arbitration

ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING FROM OR RELATED TO THESE MARKETPLACE TERMS OR THE USE OF THE MARKETPLACE SHALL BE RESOLVED BY BINDING ARBITRATION administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.

Both Sellers and Buyers agree to resolve disputes through arbitration on an individual basis. Neither party may bring claims as part of a class action, consolidated action, or representative action.

For full details on arbitration, class action waiver, and exceptions, please refer to Section 19 of the Groomera Terms of Service, which is incorporated by reference.

18.2 Arbitration Opt-Out (30-Day Window)

You have the right to opt out of the arbitration agreement within 30 days of first accepting these Marketplace Terms by sending written notice to Support@Groomera.com.

If you do not opt out within 30 days, you will be bound by the arbitration agreement.


19. Governing Law and Jurisdiction

These Marketplace Terms shall be governed by and construed in accordance with the laws of the State of Connecticut, United States, without regard to conflict of law principles.

Subject to the arbitration provisions, any legal action or proceeding shall be brought exclusively in the state or federal courts located in Connecticut.


20. Changes to These Marketplace Terms

Groomera reserves the right to modify these Marketplace Terms at any time. When we make material changes, we will notify Sellers and Buyers via email, in-app notification, or a prominent notice on the Marketplace.

It is your responsibility to review these Marketplace Terms periodically. Your continued use of the Marketplace after changes become effective constitutes your acceptance of the updated Terms.


21. Severability

If any provision of these Marketplace Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.


22. Entire Agreement

These Marketplace Terms, together with the Groomera Terms of Service, Privacy Policy, Cookie Policy, and Refund Policy, constitute the entire agreement between Sellers, Buyers, and Groomera regarding the use of the Marketplace.
